Is my year-end business tax return and personal tax return included in the monthly price?
No. Your monthly investment for The Accelerator covers the heavy lifting of your day-to-day operations: ongoing bookkeeping management, automated payroll tracking, data integrity verification, and tech stack licensing.
At the end of the year, we hand you a pristine, bulletproof Year-End Tax Package containing your clean financial statements and everything a tax professional needs to file your business tax return without asking a million questions. You can hand this package directly to your current CPA. If you don’t have one, we can seamlessly coordinate with our professional CPA partners to handle your corporate filing (Form 1120S) for an additional, separate fee.

Welcome to the corporate growth engine. By engaging in The Accelerator tier, you are partnering with Zander Gray LLC (the "Firm") to transition your business into an optimized S-Corporation structure, establish compliant payroll systems, and secure professional bookkeeping oversight driven by automation and data integrity.
Scope of Service
The Firm will provide the Client (the "Client") with the following ongoing corporate management and financial integrity services:

S-Corp Election: Preparation and filing of IRS Form 2553 (S-Corporation Election) for the Client's qualifying entity.

Payroll Oversight: Setup and ongoing oversight of an automated corporate payroll system to facilitate required "Reasonable Compensation" shareholder-employee salaries.

Bookkeeping Management: Ongoing bookkeeping management, bank feed optimization, and data integrity verification using the Firm's approved technology integrations.

Year-End Tax Package: Compilation and delivery of a comprehensive, audit-ready Year-End Tax Package optimized for corporate tax preparation, delivered at the close of the fiscal year.
Terms & Operational Boundaries
Nature of Relationship & Service Tiers
The Accelerator is an ongoing, monthly recurring professional services engagement. Unlike our entry-level software-only subscription (Zander Gray Go) where the Client is entirely unmonitored, this tier introduces professional oversight focused entirely on accounting accuracy, structural bookkeeping integrity, and payroll compliance.
Exclusion of Tax Return Preparation From Monthly Fee
The Client explicitly acknowledges that the monthly recurring fee for The Accelerator tier does not include the preparation or filing of federal, state, or local income tax returns (including but not limited to Form 1120S or personal Form 1040 returns).

The monthly fee strictly covers ongoing operational bookkeeping, payroll management, and data integrity infrastructure.

At the close of the fiscal year, the Firm will provide the Client with a completed Year-End Tax Package to hand off to their chosen tax accountant.

If the Client wishes to have their corporate tax return prepared through the Firm’s ecosystem, the Firm can coordinate tax preparation services with its professional CPA partner for an additional, separate fee subject to a separate engagement agreement.
Strict Exclusion of Advanced Tax Planning
The Client explicitly acknowledges that The Accelerator tier does not include advanced proactive tax planning or custom wealth-building strategies. Services under this tier are strictly focused on operational data integrity, payroll execution, and baseline S-Corp compliance. Advanced tax engineering—including but not limited to Real Estate Professional Status (REPS) maximization, Short-Term Rental (STR) loopholes, cost segregation study coordination, and multi-entity wealth planning—is strictly reserved for The Empire tier and is completely outside the scope of this agreement.
Client Responsibilities & Data Integrity
While the Firm manages system automation and reviews bookkeeping data for structural integrity, the baseline accuracy of the financial records relies entirely on the Client’s cooperation. The Client remains solely responsible for:

Account Connectivity: Ensuring all business bank accounts, credit cards, and dedicated payroll funding pipelines remain connected to the Firm’s accounting ecosystem.

Documentation: Providing requested receipts, invoices, or transaction clarifications through our secure client portal within fifteen (15) days of a request.

Financial Separation: Operating strictly out of dedicated business accounts and completely avoiding the comingling of personal and corporate funds.
Fees & Billing Infrastructure

Monthly Retainer: Services are billed as a fixed monthly fee (starting at $250/month), automated through our secure billing system and collected in advance on the first day of each billing cycle.

Periodic Reviews: The Firm reserves the right to review the Client’s ongoing transaction and account volume quarterly. If the Client’s data volume consistently exceeds the thresholds established in their initial baseline quote, the Firm will provide a 30-day written notice to adjust the monthly retainer to align with current operational volume.

Catch-Up Fees: If the Client engages the Firm mid-year and requires historical bookkeeping cleanup or retroactive payroll adjustments to build a accurate ledger, separate "Catch-Up" onboarding fees will apply.
Termination & Off-Ramping

30-Day Notice: Either party may terminate this ongoing agreement at any time by providing a written 30-day notice to Zander Gray LLC.

Mid-Year Termination & Year-End Package Scoping: If this agreement is terminated by the Client prior to December 31st of the active tax year, the Firm is completely relieved of its obligation to compile, format, or deliver that year's Year-End Tax Package.

No Partial Refunds: No partial refunds of monthly fees will be issued upon termination, as monthly fees cover ongoing bookkeeping validation, live payroll oversight, and tech-stack licensing executed in real-time.

Data Access: Upon termination, the Firm will provide a 30-day window for the Client to export their raw data or transition baseline software tools to retail accounts at current market rates to prevent historical data loss.
