Welcome to Zander Gray. By accessing our website and utilizing our services, you agree to be bound by the following Terms and Conditions. Please read them carefully.

1. Services Provided

Zander Gray provides business formation assistance, tax strategy consulting, and managed bookkeeping software licenses (the "Services"). We are a professional services firm; we are not a law firm, and our services do not constitute legal advice.

2. Software Licensing (The Tech Stack)

For clients subscribed to our Accelerator or Empire tiers as well as the Hurdlr App Add On, Zander Gray provides managed access to essential business software.

 

By using these tools, you agree to the following:

• Third-Party Platforms: We provide licenses for Hurdlr, QuickBooks Online (QBO), and/or Gusto Payroll, and others depending on your service tier. Your use of these platforms is subject to the respective Terms of Service and Privacy Policies of those third-party providers.

• Data Responsibility: While Zander Gray monitors your data for strategy and compliance, the client remains responsible for the initial accuracy of data entries, maintaining active bank/credit card connections, and providing timely documentation (receipts/invoices) when requested.

• Payroll Compliance (Gusto): For Empire Tier clients, Zander Gray utilizes Gusto to manage "Owner’s Compensation" and payroll taxes. The client is responsible for ensuring the business bank account is sufficiently funded for all payroll runs, tax impounds, and filing fees. Zander Gray is not liable for penalties resulting from insufficient funds in the client's account.

• Technical Support: Zander Gray acts as the administrator for these accounts, but we are not the software developer. We are not responsible for technical outages, software bugs, or data loss occurring within QuickBooks, Gusto, or Hurdlr.

• Account Ownership upon Termination: If you cancel your subscription with Zander Gray, we will facilitate the transfer of your Hurldlr, QuickBooks and Gusto data to your personal ownership. You will be responsible for the direct subscription costs of these platforms following the termination of our service agreement.

3. Business Banking Integration (Bluevine)

For clients utilizing our "Launchpad" or "Accelerator" services, Zander Gray may facilitate the application and setup of a business banking account through Bluevine.

• Third-Party Agreement: Bluevine is a third-party financial technology company, not a bank. Banking services are provided by Coastal Community Bank, Member FDIC. By opening an account, the client agrees to Bluevine’s specific Terms of Service and Privacy Policy.

• Read-Only Access: To provide high-level advisory and bookkeeping services, the client agrees to grant Zander Gray "Read-Only" (Accountant/Viewer) access to their Bluevine account.

• Scope of Access: This access allows Zander Gray to:

  1. View transaction history to ensure accurate tax categorization.

  2. Download monthly bank statements for reconciliation and record-keeping.

  3. Verify account balances for strategy purposes.

• Limitation of Authority: Zander Gray and its employees will not have the authority to initiate transfers, pay bills, withdraw funds, or change account security settings. The client remains the sole authorized signer and owner of the funds.

• Security: The client is responsible for maintaining the security of their primary login credentials. Zander Gray will access the data only through the designated Accountant/Read-Only portal provided by Bluevine.

4. No Guarantee of Results

While our strategies are designed to maximize tax efficiency and have historically yielded significant ROI for clients (3x–5x on average), Zander Gray does not guarantee specific dollar amounts in tax savings. Final tax liability is determined by IRS regulations and the accuracy of the data provided by the client.

5. Fees and Cancellations

• Subscription Fees: Monthly fees are billed in advance using our automated payment system.

• Cancellation: You may cancel your subscription at any time. Cancellations will take effect at the end of the current billing cycle. No pro-rated refunds are provided for partial months.

• One-Time Fees: Fees for the "Launchpad" tier are non-refundable once the entity formation process has been initiated with the state. 

  • Launchpad Setup Fees: The initial fee paid for "The Launchpad" tier covers Zander Gray’s professional service for entity formation and strategy. This fee does not include mandatory State Filing Fees.

  • Variable State Costs: State filing fees vary significantly depending on the jurisdiction of formation. Prior to the submission of any formation documents, Zander Gray will provide the client with the exact state-mandated fee.

  • Authorization & Payment: The client must acknowledge and approve the state fee in writing (via email or portal). Formation will not proceed until both the Zander Gray setup fee and the applicable state filing fees are paid in full.

  • One-Time Fees: Fees for the "Launchpad" tier are non-refundable once the entity formation process has been initiated with the state or work has begun on the operating agreement.

• Subscription Fees: Monthly fees for the Accelerator and Empire tiers are billed in advance. Cancellations take effect at the end of the current billing cycle, with no pro-rated refunds provided for partial months.

 

6. Limitation of Liability

To the maximum extent permitted by law, Zander Gray shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services or the reliance on automated software data. Our total liability for any claim arising out of our services shall not exceed the total amount paid by the client to Zander Gray during the 12 months preceding the claim.

7. Client Data & Privacy

We value your privacy. Your financial data is used strictly for providing advisory services and is never sold to third parties. We utilize industry-standard encryption and secure portals for all document transfers. For more information, please see our Privacy Policy.

8. Governing Law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.
